Terms of Service
These terms govern your use of Vadom. By using the service you agree to them. Please read them alongside our Privacy Policy.
1. Who we are
Vadom is an independent software project based in Ireland ("Vadom", "we", "us"). "You" means the organisation or individual using the service.
2. The service
Vadom is a maintenance management service for reporting breakdowns, tracking downtime and keeping auditable maintenance records. We grant you a non-exclusive, non-transferable right to access and use the service for your internal business purposes during your subscription.
3. Accounts
- You are responsible for keeping account credentials confidential and for activity under your accounts.
- You must provide accurate information and ensure your users are authorised to use the service.
- Notify us promptly at security@vadom.ie of any suspected unauthorised access.
4. Acceptable use
You agree not to misuse the service, including: attempting to gain unauthorised access, interfering with its operation, reverse engineering it, using it unlawfully, or uploading malicious or infringing content.
5. Your data
You retain ownership of all data you enter into Vadom. We process it only to provide the service and as set out in our Privacy Policy and Data Processing Agreement. We do not sell your data.
6. Availability
We work to keep Vadom available and reliable, including daily backups and automatic recovery. The service is provided on a reasonable-efforts basis. Any specific uptime commitment applies only where it is set out in a separate written service level agreement.
7. Fees
Where the service is provided under a paid plan, fees, billing period and any trial terms are those set out in your order or written agreement. Pilot or evaluation use may be provided free of charge on the terms agreed for that pilot.
8. Confidentiality
Each party will protect the other's confidential information and use it only as needed to perform under these terms.
9. Warranties and disclaimers
We provide the service with reasonable skill and care. Except as expressly stated, the service is provided "as is" and we disclaim all other warranties to the fullest extent permitted by law. You are responsible for validating the system for your own regulatory purposes.
10. Limitation of liability
To the fullest extent permitted by law, neither party is liable for indirect or consequential loss, or for loss of profits, revenue or data. Our total liability arising out of or in connection with the service is limited to the fees paid by you in the 12 months before the event giving rise to the claim. Nothing in these terms limits liability that cannot be limited by law.
11. Term and termination
These terms apply for as long as you use the service. Either party may terminate in accordance with the order or for material breach not remedied within a reasonable period. On termination, your right to use the service ends and, on request, we will return or delete your data as described in the Data Processing Agreement.
12. Changes
We may update the service and these terms from time to time. We will give reasonable notice of material changes. Continued use after changes take effect means you accept the updated terms.
13. Governing law
These terms are governed by the laws of Ireland, and the courts of Ireland have exclusive jurisdiction, save that either party may seek injunctive relief in any competent court.
